Prophecy DeFi Announces Debt Settlement

Toronto, Ontario–(Newsfile Corp. – June 21, 2023) – Prophecy DeFi Inc. (CSE: PDFI) (“Prophecy DeFi” or the “Company“), announces that it has agreed to settle an aggregate of $105,000 of indebtedness owed to certain creditors through the issuance of an aggregate of 700,000 common shares (each, a “Common Share“) in the capital of the Company at a price of $0.15 per Common Share (the “Debt Settlement“).

The Debt Settlement remains subject to receipt of all necessary corporate and regulatory approvals, including the approval of the Canadian Securities Exchange. All Common Shares issued in connection with the Debt Settlement will be subject to a statutory hold period of four months plus a day from the date of issuance in accordance with applicable securities legislation.
