(the “Offeror“) announces today its invitation to holders of its outstanding EUR 310,342,000 2.50 per cent Guaranteed Notes due 2024 guaranteed by Citycon Oyj (the “Guarantor“) (ISIN: XS1114434167) issued in separate tranches on 1 October 2014 and 10 June 2020 (the “Securities“), to tender any and all of their Securities for purchase by the Offeror for cash (the “Offer“) on the terms and subject to the conditions set out in the tender offer memorandum dated 27 February 2024 (the “Tender Offer Memorandum“) prepared by the Offeror. The Offer is subject to the offer and distribution restrictions set out below and as more fully described in the Tender Offer Memorandum.
Copies of the Tender Offer Memorandum are (subject to offer and distribution restrictions) available from the Tender Agent as set out below. Capitalised terms used in this announcement but not defined have the meanings given to them in the Tender Offer Memorandum.

Rationale for the Offer
The purpose of the Offer, in conjunction with the issue of the New Notes (as defined below), is, amongst other things, to refinance the Offeror’s short-term debt maturities and manage the Offeror’s and the Guarantor’s debt maturity profile.
Details of the Offer
Purchase Price
The price the Offeror will pay for Securities validly tendered and accepted for purchase by the Offeror pursuant to the Offer will be EUR 991.25 per EUR 1,000 in principal amount.
Accrued Interest Payment
The Offeror will also pay, on the Settlement Date, an Accrued Interest Payment in respect of Securities accepted for purchase pursuant to the Offer.
Financing Condition
The Offeror is commencing the Offer as part of a refinancing transaction pursuant to which the Offeror, in its capacity as issuer, announced on 27 February 2024 its intention to issue, on or prior to the Settlement Date, and subject to market conditions, new Euro denominated senior unsecured notes (the “New Notes“) unconditionally and irrevocably guaranteed by the Guarantor, on terms and conditions reasonably satisfactory to the Offeror and the Guarantor. The Offeror intends to use a portion of the net proceeds from the New Notes to fund the purchase of the Securities (if any) in the Offer.
Whether the Offeror will purchase any Securities validly tendered in the Offer is subject, without limitation, to the satisfaction (or waiver) of the Financing Condition, being the successful completion (in the sole determination of the Offeror) of the issue of the New Notes. Even if the Financing Condition is satisfied (or waived), the Offeror is not under any obligation to accept for purchase any Securities validly tendered pursuant to the Offer.
Priority Allocation of the New Notes
The Offeror will, in connection with allocations of the New Notes, consider among other factors whether or not the relevant investor seeking an allocation of the New Notes has validly tendered or indicated a firm intention to validly tender Securities pursuant to the Offer, and, if so, the aggregate nominal amount of Securities tendered or firmly intended to be tendered by such investor. When considering allocations of the New Notes, the Offeror intends to give preference to those investors who, prior to such allocation, have validly tendered, or indicated their firm intention to validly tender, Securities. Any such preference will be at the sole and absolute discretion of the Offeror, but will not exceed the aggregate nominal amount of Securities validly tendered or firmly indicated to be validly tendered pursuant to the Offer. The Offeror is not obliged to allocate the New Notes to an investor which has validly tendered or indicated a firm intention to validly tender the Securities pursuant to the Offer and, if any such New Notes are allocated, the nominal amount thereof may be less or more than the nominal amount of Securities tendered by such Holder and accepted for purchase by the Offeror pursuant to the Offer. Any such allocation will also, among other factors, take into account the minimum denomination of the New Notes (being €100,000). Any allocation of the New Notes, while being considered by the Offeror as set out above, will be made in accordance with customary new issue allocation processes and procedures.
Holders should note that the pricing and allocation of the New Notes are expected to take place prior to the Expiration Deadline for the Offer and any Holder that wishes to subscribe for New Notes in addition to tendering Securities for purchase pursuant to the Offer should therefore provide, as soon as practicable, to any Dealer Manager any indications of a firm intention to tender Securities for purchase pursuant to the Offer and the quantum of Securities that it intends to tender in order for this to be taken into account as part of the New Notes allocation process
No Scaling of Tenders
If the Offeror decides to accept any Securities for purchase pursuant to the Offer, the Offeror intends to accept for purchase all of the Securities that are validly tendered in full, with no pro rata scaling.
Tender Instructions
In order to participate in, and be eligible to receive the Purchase Price and Accrued Interest Payment pursuant to, the Offer, Holders must validly tender their Securities by delivering, or arranging to have delivered on their behalf, a valid Tender Instruction that is received by the Tender Agent by 4.00 p.m. (London time) on 4 March 2024 (the “Expiration Deadline“).
Tender Instructions will be irrevocable except in the limited circumstances described in the Tender Offer Memorandum.
